METHOD OF SALE, TERMS & CONDITIONS
    PLEASE NOTE: The following description of the Method of Sale and Terms &
    Conditions of Sale is a summary only. A detailed statement of this
    information is available in the Bidders Information Packet. Interested
    bidders should carefully review the inform
    ation in the Bidders Information Packet before bidding.

    The following auction method will enable buyers to bid on individual
    properties or all the properties.

    METHOD OF SALE - REAL ESTATE

    The real estate will be offered at auction sale using the following procedures:
    First, the parcels will be offered on an individual basis.

    Second, the parcels will be grouped & offered in combinations. No bid will
    be considered on a combination unless the bid exceeds the total of the
    individual bids by at least 5%.

    Third, all of the parcels will be offered together as one lot. No bid will
    be considered on this lot unless it is at least equal to the total of all
    the high bids on all the parcels plus the lesser of $100,000 or 5%.

    In the event the aggregate bid is the high bid, the auctioneer may offer
    the separate bidders a chance to increase their bids to override the
    aggregate bid.

    At the time of sale, the Auctioneer will determine the bidding procedure
    and the content of the lots.

    Procedures announced by the Auctioneer at sale take precedence over prior
    written procedures.

Title
    TERMS OF SALE - REAL ESTATE

    All bids are subject to confirmation by the Secured Creditor.

    High bidders on all real estate will be charged a 5% buyers premium.

    In order to bid on real estate, bidders at registration must display a
    $25,000 cashiers or certified check, made payable to themselves.

    Note on condition of title to real property:
    In the Bidders Information Packet on each parcel of real property offered
    for sale will be a preliminary commitment for an owner's policy of title
    insurance. Bidders should study such preliminary commitments carefully
    and, in general, should consult their own attorneys and real estate professionals. Eddie Haynes Inc
    (505.296.7000, NM Lic#141631), and the James G. Murphy Company makes
    absolutely no warranties or representations of any kind regarding the title
    or physical condition of the properties. Winn
    ing bidders will be required to immediately execute a Purchase & Sale
    Agreement with the property owner, the form of which Agreement is in the
    Bidder Information Packet. Winning bidders will also be required to tender
    assured funds equal to 10% of the wi
    nning bid plus the buyers premium. Closing will occur within 30 days of
    the auction date. Final payment must be made by assured funds. Properties
    are sold on an all cash basis with no seller financing. Purchases will not
    be subject to financing contin
    gencies. All taxes, insurance, and utilities on the properties will be
    prorated as of the date of closing.
    Growing costs incurred between the date of the auction and date of closing
    will be charged to the buyer.

BIDDERS INFORMATION PACKET
    The Bidders Information Packet contains important legal documents,
    including detailed bidding instructions, property descriptions, the form of
    Purchase & Sale Agreement, and the preliminary commitment for title
    insurance. Prospective bidders should give
    careful attention to the information and documents in the Bidders
    Information Packet. The Bidders Information Packet is available by calling

    505.296.7000.

PREVIEW & INSPECTION
    The properties may be inspected from 10am to 4pm

    appointment.

    BROKER PARTICIPATION & REGISTRATION

    Up to a 2% fee will be paid to any licensed Real Estate Broker whose
    prospect is the successful bidder, pays and closes on the property as
    follows:
    REQUIREMENTS FOR BROKER PARTICIPATION & COMMISSION
    To qualify for a commission, the Broker must comply with the following in
    addition to the Broker's prospect being the winning bidder. (Forms provided
    by Auction Company)
    1) Register the prospect(signed Affidavit) in writing by mail or fax with
    the auction company at least 48 hours prior to the auction.
    2) Attend the auction, complete the Bidder's Card with the prospect and bid
    for or with the prospect.
    3)Submit an "Initial Offer" in writing signed by both Bidder & Broker prior
    to the start of the auction.
    Broker participation will not be granted if a prospect has been contacted
    by the auction company or the secured creditor prior to the auction.
    No commission will be paid by the seller to any Broker participating as a
    principle in the purchase of property.

TERMS OF SALE - PERSONAL PROPERTY
    A 5% buyers premium will be charged on all machinery & equipment.

    PAYMENT: Full payment must be made by no later 4pm,

    Cash, cashiers check, Master & Visa Cards only.
    Personal or Company checks accepted ONLY with bank letter of guarantee.
    Absentee bids accepted with 25% deposit
    REMOVAL: No purchase may be removed during the auction. All Purchases must
    be removed 1 hour after the sale or between 8 am & 4:30 pm

    Announcements made by the auctioneer at the time of sale take precedence
    over printed matter.
    Auctioneer reserves the right to sell accessories, parts or attachments on
